Regency Silver Buys Jabali Gold Project in Sonora

Regency Silver Corp. is buying the past-producing Jabali gold project in Sonora, Mexico, in a deal that gives it a foothold beside one of Mexico’s better-known operating gold camps and potentially a faster route to cash flow than a greenfield exploration play.
The purchase matters because Regency is not just adding acreage: it is acquiring a former underground mine with historical high-grade intercepts, prior metallurgy suggesting strong recoveries and a location only about 6 kilometres from Alamos Gold’s Mulatos mine and 10 kilometres from Agnico Eagle’s La India project. For a junior with limited scale, proximity to operating infrastructure can be more valuable than a large but remote resource base, especially if the company can secure toll milling and avoid the full capital burden of building a standalone plant.
Under the binding agreement signed Sept. 8, Regency will acquire Tarachi Gold S.A. de C.V., which holds the Jabali concessions, for US$70,000 upfront, 20 million shares once a nearby custom milling arrangement is in place, and contingent payments of US$1 million six months after commercial production begins, another US$1 million 12 months later, plus US$2 million after 50,000 gold-equivalent ounces have been produced. The seller also keeps a 2% net smelter return royalty. The deal is expected to close around Sept. 30, subject to TSX Venture Exchange approval.
The structure keeps near-term cash outlay modest while loading much of the consideration onto operating milestones, which is attractive in a sector where juniors often struggle to finance mine development outright. That also underscores the economic logic of the transaction: Regency is effectively buying optionality on a re-start, not paying full value today for production that remains unproven. The risk, of course, is execution. Historical drill results cited in the release — including 6.91 grams per tonne of gold over 63.4 metres and 7.26 grams per tonne over 12 metres — are encouraging, but they are not NI 43-101-verified by Regency and still need to be confirmed with twinned holes and new technical work.
The asset’s appeal is amplified by metallurgy. Earlier testing reported average gold recovery of 94.8% using cyanide leaching, a result that, if validated, would support a lower-cost restart concept. Regency says it is studying the capital and operating costs of reviving La Dura and is preparing a NI 43-101 technical report. Management is framing Jabali as a direct geological analogue to nearby Mulatos, arguing that the district has already demonstrated the ability to produce ounces at scale.
For investors, the transaction offers a classic exploration-to-development rerating story: a junior miner with a district-scale exploration package is attempting to add a past producer with a plausible restart path and then advance it with comparatively little upfront cash. The bull case is that Sonora remains a highly prospective, mining-friendly jurisdiction and the company could leverage existing regional infrastructure to accelerate permitting and development. The bear case is that historical data often overstates what can be economically mined today, custom milling terms may prove expensive or unavailable, and the company still needs fresh drilling, verification and engineering before any restart can be considered credible.
The deal also fits a broader industry pattern: in a strong gold market, juniors are increasingly competing for brownfield assets that can be advanced faster than new discoveries. With gold sentiment still fragile after recent volatility, projects that can be de-risked by prior production history and nearby operators may command disproportionate investor interest. Regency now has to prove that Jabali is more than a good address.
