A French refrigeration group is moving to take control of four Romanian companies with combined annual revenue of more than 35 million euros, extending a Europe-wide consolidation strategy into a market where demand is tied to food retail, logistics and industrial cold storage.
Syclef Seeks Control of Four Romanian Refrigeration Firms
Syclef Holding SAS, the France-based designer, installer and maintainer of commercial and industrial refrigeration systems, is seeking approval from Romania’s competition authority for two transactions that would give it control over Unicool Instalații Frig and Acsa Coolteam, as well as Horeco Impex and Frigoclima. The deal values the target businesses at roughly 36 million euros in consolidated revenue, or about 39.3 million euros if their latest individual turnover figures are added together before intercompany eliminations.
The acquisition matters because refrigeration is not a niche equipment market but core infrastructure for supermarket chains, food producers, warehouses and logistics operators. By pairing Unicool’s stronger exposure to commercial refrigeration and retail clients with Horeco’s industrial and food-sector focus, Syclef is buying immediate scale across the two main segments of the Romanian market rather than building from scratch.
For Syclef, the attraction is clear: the targets are established, profitable local operators with recurring service work and customer relationships that are difficult to replicate quickly. Unicool reported about 14.2 million euros in turnover and 1.7 million euros in net profit in 2025, while Acsa Coolteam added 4.25 million euros in sales and 613,000 euros in profit. Horeco Impex generated around 19.5 million euros in turnover and 1.1 million euros in net profit, with Frigoclima contributing another 1.3 million euros. Together, the businesses employed more than 230 people, giving the French buyer a ready-made operating base.
The structure of the transactions also shows a pragmatic approach to dealmaking. Romanian founders and owners are not being pushed out entirely: the entrepreneurs behind Unicool will retain minority stakes through Frigoholding, while the Niculescu family will keep 20% of Horeco through Horeco Holding Roinvest. That can reduce integration risk and preserve local execution, a useful feature in a sector where project delivery, maintenance and client relationships are often as important as capital.
The move fits a broader European expansion play backed by private equity. Syclef has been building through acquisitions across several countries, and Ardian, which invested in the group in 2020, created a continuation fund in 2025 to support further buyouts. Romania gives the group a platform in a fast-growing regional market where cold-chain investment is supported by food distribution, retail modernization and the need for more efficient industrial refrigeration systems.
For investors, the significance is less about the Romanian competition review itself than about the durability of the end market. Refrigeration, HVAC and related maintenance tend to be steadier than pure construction, with revenue tied to installed base, service contracts and compliance needs. The bull case is that Syclef can layer its own know-how, procurement scale and cross-border management on top of profitable local franchises. The bear case is that integration across two parallel acquisitions, each with minority local shareholders and different customer mixes, could slow synergies and dilute control.
The next catalyst is regulatory clearance from Romania’s competition authority. If approved, the deals would strengthen Syclef’s foothold in both commercial and industrial refrigeration and add another example of Western European capital moving into mid-sized Eastern European industrial services businesses with established cash generation.
